Piscandolu provides chatbot maintenance and update services, including but not limited to monitoring, configuration management, performance optimization, content updates, and technical support for chatbot systems. The specific scope of services provided to you is defined by your subscription plan or service agreement.

We reserve the right to modify, suspend, or discontinue any aspect of the services at any time, with reasonable notice where practicable.

To access certain features, you may be required to register for an account. You agree to provide accurate, complete, and current information during registration and to keep that information updated.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access or a security breach. We are not liable for any loss or damage resulting from unauthorized use of your account.

We reserve the right to suspend or terminate your account at our discretion if we have reason to believe that you have violated these terms or engaged in conduct that may harm us, other users, or third parties.

Access to certain services may require payment of fees as outlined in your chosen subscription plan. All fees are stated in the applicable currency and are exclusive of applicable taxes unless stated otherwise.

By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your billing cycle. You are responsible for keeping your payment information current.

Fees paid are generally non-refundable unless otherwise required by applicable law or expressly stated in a separate agreement. We may evaluate refund requests on a case-by-case basis at our sole discretion.

We reserve the right to modify pricing at any time. We will provide reasonable advance notice of any price changes. Continued use of the services after a price change takes effect constitutes your acceptance of the new pricing.

Our services may integrate with or link to third-party services, websites, or tools. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is at your own risk and subject to the terms of those third parties. We encourage you to review third-party terms and privacy policies before use.

The services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be uninterrupted, error-free, or free of harmful components. We do not guarantee specific outcomes or results from your use of the services.

To the maximum extent permitted by applicable law, Piscandolu and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use of or inability to use the services, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under or related to these terms shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars (CAD $100), whichever is greater.

You agree to indemnify, defend, and hold harmless Piscandolu and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the services, your violation of these terms, or your infringement of any third-party rights.

We may update these Terms of Use from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will make reasonable efforts to notify you through the services or by email. Your continued use of the services after any modification constitutes your acceptance of the revised terms. We recommend reviewing this page periodically.

Either party may terminate the service relationship at any time in accordance with the applicable subscription or service agreement. We reserve the right to immediately suspend or terminate access to the services if you breach these terms. Upon termination, your right to access and use the services ceases immediately. Provisions of these terms that by their nature should survive termination shall continue to apply.

These terms shall be governed by and construed in accordance with the laws of the applicable governing jurisdiction as mutually agreed or as determined by the nature of the service relationship. Any disputes arising under these terms shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached informally, disputes may be submitted to binding arbitration or a competent court of appropriate jurisdiction.

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms of Use, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Piscandolu with respect to the subject matter herein and supersede all prior communications, representations, and agreements.
